1. Overview

This website is operated by Repro Graphics. Throughout these Terms of Service, “Repro Graphics”, “we”, “us” and “our” refer to Repro Graphics.

These Terms apply to your use of our website and to any products or services purchased from us, including printing, signage, apparel, uniforms, promotional products, publications, design, artwork and related services.

By accessing our website, submitting an enquiry, approving a quotation or proof, or placing an order, you agree to these Terms of Service and our Privacy Policy.

If you do not agree to these Terms, you must not use the website or purchase our products or services.

Nothing in these Terms limits any rights you may have under the Consumer Guarantees Act 1993, Fair Trading Act 1986 or other applicable New Zealand legislation.

2. Eligibility and account information

You must provide current, complete and accurate information when making an enquiry, creating an account, requesting a quotation or placing an order.

You are responsible for keeping your account credentials secure and for all activities conducted through your account.

Please notify us immediately if you believe your account or payment information has been accessed without authorisation.

3. Product information

We make reasonable efforts to ensure product descriptions, specifications, images, colours, measurements and pricing are accurate.

However:

• Images may appear differently depending on lighting, photography and screen settings.
• Colours and measurements shown online are approximate and provided for guidance.
• Materials, finishes and product specifications may vary slightly between production batches.
• Promotional-product stock, colours and availability may change without notice.
• Samples and digital proofs indicate the intended result but may not exactly reproduce the final printed product.

Where an exact colour, material, size or finish is essential, please contact us before ordering.

4. Quotations

Unless stated otherwise, quotations:

• Are valid for the period shown on the quotation.
• Are based on the information and specifications supplied at the time.
• May change if quantities, materials, artwork, branding methods, delivery requirements or other specifications change.
• May exclude GST, freight, installation or additional services unless expressly included.
• Are subject to stock and production availability.

A quotation is not binding until accepted by you and confirmed by us.

5. Orders and acceptance

Submitting an order does not automatically mean that we have accepted it.

We may decline or cancel an order where:

• A product is unavailable.
• Pricing or product information contains an obvious error.
• Payment cannot be authorised.
• Supplied artwork breaches intellectual-property rights or applicable law.
• The requested work cannot reasonably be produced.
• Fraudulent or unauthorised activity is suspected.

If we cancel an order after receiving payment, we will refund the affected amount using the original payment method, except where costs have already been incurred with your prior agreement.

6. Pricing, GST and payment

Unless otherwise stated:

• All prices are in New Zealand dollars.
• GST treatment will be displayed on the applicable product page, quotation, cart or checkout.
• Freight, setup, branding, packaging, artwork, installation and other charges may be added where applicable.
• Promotional-product pricing may depend on quantity, branding method, packaging and setup requirements.
• Fixed freight charges may be distributed across the selected quantity when displaying a per-unit price.
• GST is calculated at checkout where applicable.

Payment must be completed using one of the payment methods available at checkout or specified on our quotation or invoice.

You are responsible for any fees charged by your bank, card provider or third-party payment service.

7. Artwork and customer-supplied content

You are responsible for ensuring that all artwork, logos, photographs, text, trademarks and other materials supplied to us:

• Are accurate and complete.
• Are suitable for the requested production method.
• Do not infringe another person’s copyright, trademark, privacy or other rights.
• May lawfully be reproduced by Repro Graphics.

You grant us permission to use, reproduce and adapt supplied materials only as reasonably required to prepare proofs and complete your order.

We may reject content that is unlawful, offensive, misleading, defamatory or potentially infringing.

Additional charges may apply where artwork requires correction, recreation, conversion or other production work.

8. Proofs and customer approval

Where a proof is provided, you are responsible for checking:

• Spelling, grammar and punctuation
• Names and contact information
• Dates, quantities and measurements
• Colours and layout
• Images and logo placement
• Finishing, branding and production specifications

Production may begin after you approve the proof.

We are not responsible for errors that were present in an approved proof unless the final product differs materially from that proof.

Changes requested after approval may result in additional costs and production delays.

9. Custom, branded and indented products

Many of our products are produced, printed, branded, imported or configured specifically for each customer.

Custom-made, personalised, branded or indented products may not be cancelled or returned for a change of mind once artwork, sourcing or production has commenced.

This does not affect your rights where products are faulty, materially different from the approved specifications or otherwise fail to meet applicable statutory guarantees.

Indented and imported products may have extended lead times. Any stated lead time is an estimate and may be affected by supplier availability, international freight, customs processing or other circumstances outside our reasonable control.

10. Production and delivery timeframes

Production and delivery estimates generally begin after:

• Payment or an approved account arrangement has been confirmed.
• Final artwork has been supplied.
• The proof has been approved.
• All product specifications have been confirmed.

Timeframes are estimates unless we expressly agree to a guaranteed deadline in writing.

Please tell us about fixed event dates or critical deadlines before placing your order. We will make reasonable efforts to meet agreed timeframes but cannot guarantee deadlines affected by circumstances outside our reasonable control.

11. Shipping and delivery

You must provide a complete and accurate delivery address.

Additional charges may apply where:

• An incorrect or incomplete address is supplied.
• Delivery must be attempted more than once.
• Special handling, rural delivery or urgent delivery is required.
• An order contains oversized or unusually heavy products.

Please inspect your order promptly after delivery. If it arrives damaged, incomplete or incorrect, contact us as soon as reasonably possible and provide your order number, photographs and relevant details.

Delivery timeframes provided by carriers are estimates. Nothing in this section limits any delivery rights available under New Zealand law.

12. Cancellations and order changes

Contact us immediately if you need to change or cancel an order.

We will accommodate requests where reasonably possible. However, once artwork preparation, product sourcing, printing, branding or production has started, you may be responsible for costs already incurred.

Any approved changes may affect pricing and delivery timeframes.

13. Returns, faults and remedies

We do not have to provide a refund solely because you have changed your mind, ordered an incorrect item or approved incorrect artwork.

However, products and services supplied to consumers are subject to applicable New Zealand consumer guarantees.

If a product is faulty, damaged, materially different from its description or does not match the approved specifications, please contact us with:

• Your order number
• A description of the issue
• Supporting photographs
• The quantity affected

Depending on the circumstances and your legal rights, an appropriate remedy may include repair, replacement, re-performance, refund or another agreed solution.

Do not return products without contacting us first so that we can provide return instructions.

14. Stock and availability

Product availability may change without notice.

If a selected colour, size, material or product becomes unavailable after ordering, we will contact you to discuss:

• A suitable alternative
• A revised timeframe
• A partial fulfilment
• Cancellation and refund of the affected item

15. Website availability and errors

We do not guarantee that the website will always be available, uninterrupted or error-free.

We may correct errors in product information, pricing, availability or website content and may update or withdraw content without notice.

Where an obvious pricing or configuration error affects an order, we will contact you before proceeding.

16. Third-party services

Our website is hosted by Shopify and may use third-party services for payments, forms, reviews, analytics, shipping and other functionality.

Third-party services may be governed by their own terms and privacy policies. We are not responsible for third-party websites or services except to the extent required by law.

17. Intellectual property

Unless otherwise stated, the website and its content—including text, graphics, layouts, photographs, icons, branding and software—are owned by or licensed to Repro Graphics.

You may not copy, reproduce, distribute, modify or commercially use our website content without prior written permission.

Ownership of customer-supplied intellectual property remains with its respective owner.

18. Prohibited use

You must not use the website:

• For unlawful or fraudulent purposes
• To infringe another person’s rights
• To upload malicious code
• To interfere with the website’s operation or security
• To collect information about other users without permission
• To submit false, misleading or unauthorised orders

We may suspend or terminate access where these Terms are breached.

19. Limitation of liability

To the maximum extent permitted by law, Repro Graphics will not be responsible for indirect, incidental or consequential losses arising from your use of the website or our products and services.

We are not responsible for delays or losses caused by circumstances outside our reasonable control, including carrier delays, supplier shortages, customs processing, natural disasters, infrastructure failures, industrial action or government restrictions.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

20. Privacy

Our collection and use of personal information are governed by our Privacy Policy.

Please note that the Privacy Policy currently lists a different contact email in its final Contact section. This should be checked and changed to the correct business email before launch.

21. Changes to these Terms

We may update these Terms from time to time to reflect changes to our services, business practices or legal obligations.

The revised Terms will be published on this website with an updated revision date. Changes will not retrospectively alter an accepted order unless required by law or agreed with you.

22. Governing law

These Terms are governed by the laws of New Zealand.

Any dispute will be subject to the jurisdiction of the New Zealand courts, without limiting any right to use the Disputes Tribunal or another applicable dispute-resolution process.
